Terms & Conditions of Service

These Terms and Conditions govern all academic admissions, competency certifications, software engineering contracts, and digital platform access provided by NeuroByte from our registered facilities at Software Technology Park, Jashore, Bangladesh.

Section 1

1. Institutional Identity & Acceptance of Terms

These Terms and Conditions constitute a legally binding agreement between you (referred to as “Trainee”, “Student”, “Client”, or “User”) and NeuroByte (referred to as “Company”, “Institute”, “we”, or “us”), an established software engineering enterprise and accredited training academy operating from Level-5, Sheikh Hasina Software Technology Park, Nazir Shankarpur Road, Jashore-7400, Bangladesh.

By submitting an enrollment form, registering for a course, executing a Statement of Work (SOW), issuing a purchase order, accessing our student verification portal, or browsing this website (neurobyteit.com), you unconditionally accept and agree to comply with all guidelines, regulatory mandates, and operational terms detailed herein.

2. Academic Admissions, Shifts & Lab Conduct

NeuroByte delivers government-accredited and industry-standard technical training. Admission to our programs is governed by the following criteria:

  • Admission Eligibility: Prospective trainees must satisfy minimum educational prerequisites specified for the selected course (e.g., SSC/HSC or equivalent for NTVQF Levels 2 & 3).
  • Batch Schedules & Shifts: Training shifts (Morning, Afternoon, Evening, or Weekend) are allocated subject to seat availability in our Smart Lab. While NeuroByte makes every reasonable effort to accommodate schedule preferences, batch times may be adjusted with prior notification.
  • Attendance Requirement: Trainees must maintain a minimum of 80% physical attendance throughout the course duration to qualify for institutional assessments and final certification.
  • Smart Lab Protocols: Every trainee is assigned a dedicated 1:1 workstation. Tampering with operating system configurations, physical cabling, MikroTik network equipment, or downloading unauthorized/pirated material on laboratory computers is strictly prohibited and results in immediate disciplinary action.

3. Course Fees, Payment Schedules & Refund Policy

All fees charged for training programs represent tuition, lab facility utilization, courseware access, and administrative processing.

Financial Regulations & Refund Criteria
  • Registration Deposit: Seat reservation requires payment of the specified admission fee or approved initial installment.
  • Cancellations Prior to Batch Launch: If a written refund request is received at least 5 working days prior to the official batch orientation date, a refund of tuition fees will be granted, less a 10% administrative processing charge.
  • Post-Commencement Policy: Once formal classroom or lab sessions commence, tuition fees become non-refundable and non-transferable under any circumstances.
  • Batch Deferral: A trainee encountering documented medical or unavoidable emergencies may request a one-time batch transfer to the immediate next intake, subject to management approval and seat availability.

4. CBT&A Assessment, Certification & Online Verification

Competency-Based Training and Assessment (CBT&A) is the national standard under the National Skills Development Authority (NSDA) and Bangladesh Technical Education Board (BTEB):

  • Assessment Criteria: Trainees are formally evaluated by accredited assessors on practical demonstration, oral questioning, and portfolio verification. Results are classified as “Competent” or “Not Yet Competent”.
  • Online Verification Portal: All credentials issued by NeuroByte are permanently registered in our centralized database. Employers and institutions may independently verify certificate authenticity via neurobyteit.com/verify.
  • Anti-Fraud Measures: Any reproduction, alteration, or fraudulent misrepresentation of a NeuroByte certificate or assessment score is a prosecutable offense under Bangladesh cyber and penal laws.

5. Enterprise Software Development & Statements of Work (SOW)

For corporate clients and organizations commissioning software development, SaaS integration, or IT infrastructure:

  • Statements of Work: All bespoke software development contracts are governed by a mutually executed Statement of Work (SOW), defining technical scope, feature specifications, deliverables, project milestones, and delivery timelines.
  • Scope Modifications: Any change requests or modifications outside the signed SOW require a formal written Change Order specifying additional costs and schedule adjustments.
  • Milestone Invoicing: Software development is billed based on approved project milestones. Payments must be cleared within 15 calendar days from the invoice date unless explicitly negotiated otherwise.

6. Intellectual Property & Code Ownership

Ownership of digital intellectual property is structured to provide transparent protection for both clients and the company:

  • Client Deliverables: Upon full and final settlement of all invoiced fees, all bespoke application source code, UI/UX assets, and database architectures created specifically for the client transfer exclusively to the client.
  • Pre-Existing Frameworks & Modules: NeuroByte retains all rights to its proprietary base libraries, reusable microservices, design utility libraries, and pre-existing code modules utilized during project development. The client receives a perpetual, non-exclusive, royalty-free license to use these libraries within the delivered application.
  • Proprietary SaaS Solutions: Products owned directly by NeuroByte (such as Study Desk and TrackMate) remain the exclusive intellectual property of NeuroByte. Subscription licenses do not convey source code ownership.
Section 7

7. Confidentiality & Non-Disclosure (NDA)

NeuroByte treats all client information, project requirements, student records, business logic, financial data, and technical schematics as strictly confidential.

We commit to executing bilateral Non-Disclosure Agreements (NDAs) before receiving proprietary data. Neither party shall disclose confidential materials to third parties without express prior written consent, except when required by court orders or statutory law enforcement directives.

Section 8

8. Warranty, Bug Fixes & Service Level Agreements (SLA)

  • Post-Launch Warranty: Bespoke software deployments include a 60-day complimentary bug-fix warranty covering defects or discrepancies against the agreed specifications.
  • Annual Maintenance Contracts (AMC): Long-term support, server telemetry monitoring, security patch management, and 24/7 SLA response times are delivered under dedicated maintenance agreements.
  • Third-Party Outages: NeuroByte is not liable for service interruptions caused by third-party hosting providers (e.g., AWS, Cloudflare), upstream ISP fiber cuts, or external API failures outside our direct infrastructure control.

9. Acceptable Use of Digital Assets & Cyber Security

Users interacting with our web portals, learning management systems, and verification APIs must adhere to standard cyber ethics. You agree not to:

  • Deploy automated scrapers, flood bots, or Denial of Service (DoS) scripts against our verification portals.
  • Attempt unauthorized penetration, SQL injection, or privilege escalation against our servers.
  • Distribute malware, ransomware, phishing links, or illicit material through our corporate networks or forums.

Violations will result in immediate termination of account access and direct referral to the Bangladesh Cyber Police and law enforcement authorities.

Section 10

10. Limitation of Liability & Force Majeure

To the maximum extent permitted by applicable law, NeuroByte shall not be liable for any indirect, incidental, punitive, or consequential damages (including loss of business profits, data corruption, or operational downtime) arising from the use or inability to use our software or educational services.

Neither party shall be held liable for failure or delay in performance resulting from events beyond reasonable control, including natural disasters, acts of war, regional telecommunication fiber disruptions, nationwide grid power outages, or state-mandated regulatory shutdowns (Force Majeure).

Section 11

11. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by, construed, and enforced in accordance with the laws of the People’s Republic of Bangladesh, including the Contract Act 1872, the Information and Communication Technology (ICT) Act 2006 (as amended), and the Cyber Security Act.

Any dispute, controversy, or claim arising out of or relating to this agreement shall first be resolved through good-faith negotiation. If negotiation fails within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the competent civil courts located in Jashore or Dhaka, Bangladesh.
